Terms of Service: Engaged Headhunters

Welcome to Engaged Headhunters, a division of BDB Coaching, LLC (referred to in these Terms of Service as "BDB Coaching," "Engaged Headhunters", "we," "us," or "our"). This document outlines the terms and conditions for using our services. By accessing or using our website or services, you agree to be bound by these terms.

Definitions

  • Client: A company or individual seeking to hire talent or utilize our CRM/ATS solutions.
  • Candidate: An individual actively being considered for a position by a Client.
  • Placement: The successful hiring of a Candidate facilitated by Engaged Headhunters.
  • CRM/ATS Solutions: Our Customer Relationship Management (CRM) and Applicant Tracking System (ATS) software solutions.

Scope of Services

Engaged Headhunters provides the following services to Clients:

  • Talent Acquisition:
    • Candidate Search
    • Candidate Screening
    • Candidate Presentation
    • Offer Negotiation Support
    • Placement Follow-up
  • CRM/ATS Solutions:
    • Access to our CRM/ATS platforms on a recurring subscription basis
    • Technical support and training for CRM/ATS

Fees and Payment

  • Retainer Fee: Clients may be required to pay a retainer fee upfront to secure our talent acquisition services.
  • Placement Fee: A placement fee will be charged upon successful placement of a Candidate. This fee is typically a percentage of the Candidate's first-year salary.
  • CRM/ATS Subscription Fees: Clients will be charged a recurring monthly or annual fee for access to our CRM and ATS solutions.
  • Payment Terms: Invoices are due upon receipt and payable within the agreed-upon terms.
  • Guarantee Period: We may offer a guarantee period for talent acquisition services. If a placed Candidate leaves within that period, we'll work to find a replacement at a reduced or no additional cost.

Client Responsibilities

  • Accurate Information: Provide us with accurate job descriptions, requirements, company information, and accurate data for CRM/ATS usage.
  • Feedback: Provide timely feedback on resumes, interviews, offers, and CRM/ATS usage.
  • Hiring and Data Compliance: Comply with all applicable laws and regulations related to hiring, data privacy, and financial transactions.

Headhunter Responsibilities

  • Professional Conduct: Act professionally and ethically in all dealings with Clients and Candidates.
  • Confidentiality: Maintain the confidentiality of Client and Candidate information.
  • Candidate Representation: Fairly and accurately represent Candidates to Clients, avoiding exaggeration or misrepresentation.
  • CRM/ATS Support: Provide reasonable technical support and guidance for the effective use of our CRM/ATS solutions.

Intellectual Property and Data Security

  • Ownership: All ideas, concepts, strategies, and other intellectual property related to our services, including our CRM/ATS platforms, remain the property of BDB Coaching, LLC.
  • Candidate Information: Client information and Candidate data collected through the engagement is confidential. We will not disclose it to third parties without express permission.
  • Data Security Commitment: We are committed to protecting the security of your sensitive data. We employ appropriate technical and organizational measures to safeguard user information in line with industry best practices.

Prohibited Activities

Engaged Headhunters may not be used to facilitate transactions for businesses or activities that appear on Stripe's list of Restricted Businesses (https://stripe.com/legal/restricted-businesses). This includes, but is not limited to, businesses involved in illegal activities, the sale of restricted goods or services, or deceptive practices. We reserve the right to terminate services if a Client is found to be engaging in prohibited activities.

Limitations of Liability

  • No Guarantees: We do not guarantee the successful placement of any Candidate or the uninterrupted availability of our CRM/ATS solutions.
  • Client Decisions: Clients are solely responsible for their hiring decisions and the utilization of our CRM/ATS tools.
  • Indemnification: Clients agree to indemnify and hold BDB Coaching, LLC harmless from any claims or damages arising from their use of our services.

Termination

  • Either Party: Engagements may be terminated by either party with written notice, subject to any outstanding financial obligations.

Governing Law

These Terms of Service will be governed by and interpreted according to the laws of the Commonwealth of Virginia.

Dispute Resolution

Any disputes arising from these Terms of Service will first be addressed through good-faith negotiation. If unsuccessful, the parties agree to binding arbitration within the Commonwealth of Virginia. Stripe does not directly mediate disputes between users. Clients are encouraged to resolve issues directly with Engaged Headhunters.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Clients will be notified of significant changes.
